1. Acceptance of Terms

By accessing or using i3d.ai's website, mobile applications, APIs, or any other services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

i3d.ai is a platform operated by NeoSavant.ai. References to "i3d.ai," "we," "our," or "us" refer to NeoSavant.ai and its i3d.ai platform.

2. Description of Services

i3d.ai provides AI-powered sports biomechanics analysis services, including:

• Video analysis and skeleton extraction
• Movement phase segmentation
• Biomechanical metrics and scoring
• Comparison and progress tracking tools
• API access for developers
• Enterprise solutions for organizations

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose
• Upload content that infringes intellectual property rights
• Upload content containing minors without parental consent
• Attempt to reverse engineer or decompile our technology
• Circumvent any access controls or usage limits
• Use automated systems to access the Services without permission
• Interfere with the proper functioning of the Services
• Share your account credentials with others
• Resell or redistribute the Services without authorization

5. User Content

You retain ownership of any content (videos, images, data) you upload to our Services ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze such content solely to provide the Services to you.

You represent that you have all necessary rights to upload User Content and that it does not violate any third-party rights or applicable laws.

Research Program

You may choose to participate in our research program, which helps improve our AI models. If you opt in, anonymized movement data derived from your uploads may be used to enhance our technology. Participation is voluntary and can be changed at any time through your account settings.

Aggregated Data

We may create aggregated, de-identified statistics from user activity. This data cannot identify any individual and may be used to provide comparison features, generate benchmarks, and improve the Services.

6. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content (excluding User Content), are owned by i3d.ai and protected by intellectual property laws. Our technology is covered by pending patents.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software without our written permission.

7. API Terms

If you use our API, you additionally agree to:

• Comply with all API documentation and rate limits
• Keep your API keys confidential
• Not use the API to build competing services
• Display appropriate attribution when required
• Accept that API availability may change with notice

8. Fees and Payment

Some Services require payment. By subscribing to paid Services, you agree to:

• Pay all applicable fees as described at signup
• Provide accurate billing information
• Authorize recurring charges for subscription services
• Accept that prices may change with 30 days notice

Refunds are available within 14 days of initial purchase for annual plans. Monthly subscriptions can be canceled at any time but are not refundable for the current billing period.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

OUR ANALYSIS IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSIDERED MEDICAL ADVICE. ALWAYS CONSULT WITH QUALIFIED PROFESSIONALS FOR HEALTH AND INJURY-RELATED DECISIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, i3d.ai SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless i3d.ai, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will cease immediately.

You may terminate your account at any time by contacting us or using account settings. Certain provisions of these Terms will survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance.
